Part 1 and Introduction
Welcome to use Nikwal’s services!
In order to use Nikawal's services, you should read and abide by the "Nikawal Service Agreement" (hereinafter referred to as "this Agreement") and the "Nikawal Privacy Policy". Please be sure to carefully read and fully understand the contents of each clause, especially clauses that exempt or limit Nikawal’s liability, clauses that restrict user rights, clauses that stipulate dispute resolution methods and jurisdiction (such as relevant provisions in Article 18), etc. and separate agreements or rules for activating or using a service. Restrictions, disclaimers, or other terms that involve your significant rights and interests may be bolded, underlined, etc. to remind you to pay attention.
Unless you have fully read, fully understood and accepted all the terms of this agreement, you have no right to use Nikawal services. If you click "Agree" or "Next", or you use Nikawal services, or express your acceptance of this agreement in any other express or implied manner, you will be deemed to have read and agreed to sign this agreement. This agreement will have legal effect between you and Nikawal and become a legal document binding on both parties.
If you do not have full capacity for civil conduct due to factors such as age, please read and judge whether you agree to this agreement in the company of a legal guardian (hereinafter referred to as the "guardian"), and pay special attention to the terms of use for minors.
If you are a user outside of mainland China, your conclusion or performance of this agreement must also comply with the laws of the country or region to which you belong and/or are located.
1. [Scope of Agreement]
1.1 This agreement is an agreement between the user and Nikawal regarding their use of Nikawal’s services. "Nikawal" refers to the operating affiliates of Nikawal and/or its related services that may exist. "User" refers to the person who uses Nikawal's services, more commonly referred to as "you" in this Agreement.
1.2Nikawal's services refer to the services provided by Nikawal to users, including but not limited to instant messaging, online media, Internet value-added, interactive entertainment, financial payment, advertising and other products and services. The specific services are subject to those actually provided by Nikawal (hereinafter referred to as " "Service").
1.3 The content of this agreement also includes the "Nikawal Privacy Policy", and when you use a specific Nikwal service, that service may have a separate agreement, relevant business rules, etc. (hereinafter collectively referred to as the "separate agreement"). Once the above content is officially released, it will become an integral part of this Agreement and you shall also abide by it. Your acceptance of any of the foregoing separate agreements shall be deemed your acceptance of this Agreement in its entirety. Your acceptance of this Agreement shall be deemed as your acceptance of the "Nikawal Privacy Policy".
2. [Account and Password Security]
2.1 You may need to register an account when using this service. For specific rules regarding your use of your account, please read carefully and abide by the relevant separate agreement.
2.2Nikawal specially reminds you to keep your account and password properly. When you are done using it, you should exit safely. Your account may be compromised or your password may be stolen due to poor storage, and you shall be solely responsible for this.
2.3 In order to enhance user experience and/or technical convenience, the account number of this service may include numbers, letters or combinations thereof, as well as mobile phone numbers, e-mails and other forms. When you register a certain form of account, Nikawal may give you another form of the account. The specific account form, account system, and relationships between accounts are subject to those actually provided by Nikawal.
2.4 When you use this service, you may be able to set your name, avatar and other information for the account you use. You should ensure that the content and form of such information comply with laws and regulations (the "laws and regulations" in this agreement refer to the currently effective laws, administrative regulations, judicial interpretations, local regulations, local regulations, departmental rules and regulations in the region and country where the user belongs/located). 2.5 Some third-party websites or services may use Nikawal accounts as one of their login methods. 3. [Protection of User Personal Information]
3.1 Protecting users’ personal information is a basic principle of Nikawal. Nikawal will collect, use, store and share your personal information in accordance with the provisions of this Agreement and the "Nikawal Privacy Policy". If this agreement does not clearly stipulate the protection of personal information, the contents of the "Nikawal Privacy Policy" shall prevail.
3.2 During the process of registering an account or using this service, you may need to fill in some necessary information. If there are special provisions in national laws and regulations, you need to fill in your true identity information. If the information you fill in is incomplete, you may not be able to use this service or may be restricted during use.
3.3 Under normal circumstances, you can browse and modify the information you submitted in accordance with relevant product rules. However, due to security and identity recognition (such as number appeal service, etc.), you may not be able to modify the initial registration information and other information provided during registration. verify message.
3.4Nikawal will use various security technologies and procedures as much as possible to establish a complete management system to protect your personal information from unauthorized access, use or disclosure.
3.5Nikawal will not transfer or disclose your personal information to any third party unless:
(1) Relevant laws and regulations or requirements of judicial and administrative agencies.
(2) Transfer for the purpose of completing a merger, spin-off, acquisition or asset transfer.
(3) Necessary to provide the services you request.
(4) Situations that can be transferred or disclosed to any third party in accordance with the "Nikawal Privacy Policy" or other relevant agreement rules.
3.6Nikawal attaches great importance to the protection of minors’ personal information. If you do not have full civil capacity, you should obtain the consent of your guardian in advance before using Nikawal's services.
4. [How to use this service]
4.1 This service is for your personal, non-commercial use only, unless you and Nikawal agree otherwise.
4.2 The rights you obtain under the terms of this Agreement are non-transferable.
4.3 You may not use any means (including but not limited to third-party software, plug-ins, plug-ins, systems, equipment, etc.) to interfere, destroy, modify or exert other influence on this service.
4.4 You should use the service through the methods provided or approved by Nikawal, and shall not log in or use the service through any third-party software, plug-ins, plug-ins, systems, devices, etc.
4.5 No one may use any third-party software, plug-in, system, etc. to view or obtain any relevant information, data, etc. of Nikawal, Nikawal partners or users included in this service without Nikwal's authorization. At the same time, Nikawal's release shall be strictly followed. Robots protocol and other related protocol rules.
5. [Provide services according to status quo]
You understand and agree:
5.1 This service is provided according to the status quo that the existing technology and conditions can achieve. Nikawal will do its best to ensure the continuity and security of the service, but Nikawal cannot foresee and prevent legal, technical and other risks at any time. Nikawal is exempt from liability for such risks to the extent permitted by law, including but not limited to force majeure, viruses, and Trojans. , hacker attacks, system instability, third-party service defects, government actions and other reasons that may cause service interruption, data loss and other losses and risks.
5.2 Due to business strategy arrangements or adjustments, etc., the content of the specific Nikawal services available to users in different regions may differ. The specific content is subject to what Nikwal actually provides.
6. [Prepare your own equipment]
6.1 You should understand that when using this service, you need to prepare your own terminal equipment related to relevant services (such as computers, mobile terminals, necessary network access equipment, etc.), and bear the required fees (such as telephone charges, Internet charges, etc. cost).
6.2 You understand and agree that when you use this service, your terminal equipment, bandwidth and other resources will be consumed.
7. [Advertising]
7.1 You agree that Nikwal may send or display advertisements or other information (including commercial and non-commercial information) to you by itself or by a third party through various methods such as text messages, emails or electronic messages, and the specific form of sending and displaying advertisements or other information. , frequency and content are subject to actual provision by Nikawal.
7.2Nikawal will conduct advertising business in accordance with relevant laws and regulations. You agree that you should carefully judge the authenticity and reliability of advertisements that appear on this service. Unless expressly provided by law, you shall be responsible for the actions performed as a result of such advertisements.
8. [Service Fee]
8.1 Some of Nikwal’s services are provided for a fee. If you use paid services, please abide by the relevant agreement.
8.2Nikawal may modify and change the charging standards and methods of paid services based on actual needs, and Nikwal may also start charging for some free services. Before the aforementioned modifications, changes or the start of charging, Nikawal will notify or make an announcement on the corresponding service page. If you do not agree to the above modifications, changes or paid content, you should stop using the service.
8.3 When Nikawal lowers the charging standards of paid services or changes paid services to free services, Nikawal reserves the right not to provide refunds or fee adjustments to original paying users.
9. [Products or services provided by third parties]
When you use products or services provided by a third party on the Nikawal platform, in addition to complying with this agreement, you should also abide by the third party's user agreement. Nikawal and third parties shall be responsible for any disputes that may arise within the scope of legal provisions and agreements.
10. [Providing services based on software]
If Nikawal relies on the "Software" to provide you with services, you should also abide by the following agreements:
10.1 You may need to download software when using this service. For these software, Nikawal grants you a personal, non-transferable and non-exclusive license. You may use the software solely for the purpose of using the Service.
10.2 In order to improve the user experience, ensure the security of the service and the consistency of product functions, Nikawal may update the software. You should update the relevant software to the latest version, otherwise Nikawal does not guarantee that the software or services can be used normally.
10.3Nikawal may develop different software versions for different terminal devices. You should choose to download the appropriate version for installation based on the actual situation. You can obtain the software directly from the Nikawal platform or from a third party authorized by Nikawal. If you obtain software or an installer with the same name as the software from a third party that is not authorized by Nikwal, Nikwal cannot guarantee that the software or service can be used normally and is not responsible for any losses caused to you.
10.4 Unless Nikawal gives written permission, you shall not engage in any of the following behaviors:
(1) Delete the copyright information on the software and its copies.
(2) Reverse engineer, reverse assemble, decompile the software, or otherwise try to discover the source code of the software.
(3) Use, rent, lend, copy, modify, link, reprint, assemble, publish, publish, establish mirror sites, etc. the intellectual property rights owned by Nikawal.
(4) Copy, modify, add, delete, and hang the software or the data released into the memory of any terminal during the running of the software, the interaction data between the client and the server during the running of the software, and the system data necessary for the running of the software. Directly run or create any derivative works, including but not limited to using plug-ins, plug-ins or third-party tools/services not authorized by Nikawal to access the software and related systems.
(5) Add, delete, or change the functions or operating effects of the software by modifying or forging instructions and data during the operation of the software, or operating or disseminating to the public the software and methods used for the above purposes, regardless of these Whether the behavior is for commercial purposes.
(6) Log in or use Nikawal software and services through any means such as third-party software, plug-ins, plug-ins, systems, devices, etc. that are not developed and authorized by Nikawal, or produce, publish, and disseminate software that is not developed or authorized by Nikawal for logging in or using Third-party software, plug-ins, systems, devices, etc. of Nikawal software and services.
11. [Intellectual Property Statement]
11.1 The intellectual property rights of the content provided by Nikawal in this service (including but not limited to web pages, text, pictures, audio, video, graphics, computer software, etc.) belong to Nikawal, and the intellectual property rights of the content generated by users in using this service belong to Nikawal. All rights reserved by users or relevant rights holders, unless otherwise agreed between you and Nikawal.
11.2 Unless otherwise stated, the copyright, patent rights and other intellectual property rights of the software on which Nikawal provides this service belong to Nikawal.
11.3 The copyright or trademark rights of the "Nikawal" and company image and other commercial logos used by Nikwal in this service belong to Nikwal.
11.4 The intellectual property rights of the above and any other content contained in this service are protected by laws and regulations. No one may use or create related derivative works in any form without the written permission of Nikawal, the user or the relevant rights holder.
12. [User’s violations of laws and regulations]
12.1 You must abide by laws and regulations when using this service, and may not produce, copy, publish, or disseminate information containing the following contents or engage in related activities, nor may you provide information for producing, copying, publishing, disseminating information containing the following contents, or engaging in related activities. Convenience:
(1) Opposing the basic principles established by the Constitution.
(2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity.
(3) Damaging national honor and interests.
(4) Inciting ethnic hatred and discrimination and undermining ethnic unity.
(5) Undermining national religious policies and promoting cults and feudal superstitions.
(6) Spread rumors, disrupt social order, and undermine social stability.
(7) Spread obscenity, pornography, gambling, violence, murder, terror or instigate crimes.
(8) Insulting or defaming others and infringing upon others' legitimate rights and interests.
(9) Violating the "seven bottom lines" requirements of the bottom line of laws and regulations, the bottom line of the socialist system, the bottom line of national interests, the bottom line of citizens' legitimate rights and interests, the bottom line of social public order, the bottom line of morals and the bottom line of information authenticity.
(10) Relevant laws and regulations or this agreement, relevant agreements and rules etc. are prohibited.
12.2 If you violate relevant laws and regulations or the provisions of this Agreement when using this service, the relevant state agencies or institutions may file lawsuits, fines or take other sanctions against you, and require Nikawal to provide assistance. You shall bear all the responsibility for any damage caused to you or others, and Nikawal shall not bear any responsibility.
12.3 If you violate this agreement, Nikawal has the right to make independent judgments and take corresponding measures, including but not limited to deleting, blocking relevant content or disconnecting links through technical means. At the same time, Nikawal has the right to take measures including but not limited to suspending or terminating the provision of services to you, restricting, suspending, freezing or terminating your use of Nikawal account, and pursuing legal liability, depending on the nature of the user's behavior.
12.4 If you violate the provisions of this Agreement and cause losses to any party, you shall bear the responsibility independently; if Nikawal suffers losses as a result, you shall also compensate it.
13. [Comply with local legal supervision]
13.1 When using this service, you should abide by relevant local laws and regulations, and respect local morals and customs. If your behavior violates local laws, regulations or moral customs, you shall be independently responsible for it.
13.2 You should avoid causing Nikawal to violate laws and regulations or become involved in political and public events due to the use of this service. Otherwise, Nikawal has the right to suspend or terminate services to you.
14. [Content sent and disseminated by users and handling of complaints]
14.1 The content you send or transmit through this service (including but not limited to web pages, text, pictures, audio, video, graphics, etc.) is your sole responsibility.
14.2 The content you send or disseminate should come from legal sources, and the relevant content is owned by you or you have obtained the necessary authorization.
14.3 If the content you send or disseminate is illegal or infringes upon the rights of others, Nikawal has the right to make independent judgments and take measures such as deletion, blocking or disconnection of links.
14.4 If you are complained by others or you complain against others, Nikawal has the right to provide the relevant parties or relevant departments with necessary information such as the subject information, contact information, and complaint-related content of the relevant parties in the dispute, so as to resolve the complaint dispute in a timely manner and protect all parties. Party’s legitimate rights and interests.
14.5 You guarantee that you are responsible for the authenticity, legality and validity of the information, materials, evidence, etc. you provide in the complaint handling procedure.
15. [Force majeure and other reasons for exemption]
15.1 You understand and agree that in the process of using this service, you may encounter force majeure and other risk factors, which may affect this service. Force majeure refers to objective events that cannot be foreseen, cannot be overcome and cannot be avoided, and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics and storms, and social events such as wars, turmoil, government actions, etc. . When the above situation occurs, Nikawal will strive to cooperate with relevant units as soon as possible and strive to handle it in a timely manner. However, Nikawal will not be exempted from liability for any losses caused to you to the extent permitted by law.
15.2 You understand and agree that in the process of using this service, you may encounter risks caused by network information or other user behaviors. Nikwal is not responsible for the authenticity, applicability, legality of any information, nor is it responsible for any infringement. Responsible for any damage caused to you. These risks include but are not limited to:
(1) Information containing threatening, defamatory, objectionable or illegal content from others anonymously or anonymously.
(2) Suffering from any psychological, physical harm and economic losses caused or likely to be caused by others' misdirection, deception or other reasons.
(3) Other risks caused by network information or user behavior.
15.3 Nikawal has the right to deal with illegal content in accordance with this agreement. This right does not constitute Nikawal’s obligation or commitment. Nikawal cannot guarantee that illegal activities will be discovered in a timely manner or dealt with accordingly.
15.4 Under no circumstances should you trust us to borrow money, ask for passwords or other information involving property. If property operations are involved, please be sure to verify the identity of the other party first, and please always pay attention to Nikawal’s tips on preventing fraud crimes.
16. [Effectiveness and changes of the agreement]
16.1 Your use of this service is deemed to have read this agreement and accepted it to be bound by it.
16.2 Nikawal has the right to modify the terms of this agreement when necessary. You can check the latest version of the agreement terms on the relevant service page.
16.3 After the terms of this agreement are changed, if you continue to use the software or services provided by Nikwal, you will be deemed to have accepted the changed agreement.
17. [Change, interruption, and termination of service]
17.1 You understand and agree that based on adjustments to business strategies, Nikwal may make changes to service content, or may interrupt, suspend or terminate services.
17.2 When a merger, division, acquisition or asset transfer occurs in Nikawal, Nikawal may transfer the relevant assets under this service to a third party; Nikawal may also transfer some or all of the services under this agreement and the corresponding rights and obligations under this agreement to a third party after unilaterally notifying you. Operation or fulfillment by third parties. The specific transferee shall be subject to notification by Nikawal.
17.3 If any of the following circumstances occurs, Nikawal has the right to interrupt or terminate services to you without notice:
(1) According to laws and regulations, you should submit true information, but the personal information you provided is untrue or inconsistent with the information during registration and you fail to provide reasonable proof.
(2) You violate relevant laws and regulations or violate the terms of this Agreement.
(3) In accordance with the provisions of laws and regulations, the requirements of judicial authorities or competent authorities.
(4) For safety reasons or other necessary circumstances.
17.4Nikawal has the right to charge fees in accordance with Article 8.2 of this Agreement. If you fail to pay in full and on time, Nikawal has the right to interrupt, suspend or terminate the provision of services. 17.5 You are responsible for backing up the data stored in the Service yourself. If your service is terminated, Nikawal has the right to permanently delete your data from the server, unless otherwise provided by laws and regulations. After the service is suspended or terminated, Nikawal has no obligation to provide or return data to you.
18. [Jurisdiction and applicable law]
18.1 The establishment, effectiveness, performance, interpretation, dispute resolution and other related matters of this agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).
18.2 The place where this agreement is signed is Nanhu District, Jiaxing City, Zhejiang Province, the People's Republic of China.
18.3 If any dispute or dispute arises between you and Nikawal, it should first be resolved through friendly negotiation; if the negotiation fails, you agree to submit the dispute or dispute to the people's court with jurisdiction in the place where this agreement is signed (i.e., Nanhu District, Jiaxing City, Zhejiang Province, China). jurisdiction. 18.4 The titles of all clauses in this Agreement are for convenience of reading only and have no actual meaning in themselves and cannot be used as a basis for interpretation of the meaning of this Agreement.
18.5 No matter whether part of the terms of this agreement is invalid or unenforceable for any reason, the remaining terms will still be valid and binding on both parties.
18.6 If this Agreement has multiple language versions such as Chinese and English, and if the corresponding contents are inconsistent, the Chinese version shall prevail.
19. [Terms of use for minors]
19.1 If the user is under 18 years old, he or she is a minor and should read this Agreement and use this service under the supervision and guidance of a guardian.
19.2 Minor users are not deeply involved in the world, are easily confused by virtual images on the Internet, are highly curious, and lack the ability to adapt to situations when encountering problems. They are easily exploited by people with ulterior motives and lack the ability to protect themselves. Therefore, minor users should pay attention to the following matters when using this service, improve safety awareness, and strengthen self-protection:
(1) Recognize the difference between the online world and the real world, and avoid being addicted to the Internet and affecting daily study and life.
(2) When filling in personal information, strengthen your awareness of personal protection to prevent bad elements from causing harassment to your personal life.
(3) Under the guidance of a guardian or teacher, learn to use the Internet correctly.
(4) Avoid random meetings or social activities with strange netizens to prevent criminals from taking advantage of the situation and endangering your own safety.
19.3 Guardians and schools should provide more guidance for minors to use this service. In particular, parents should care about their children's growth, pay attention to communication with their children, and guide their children on safety issues they should pay attention to when surfing the Internet to nip problems in the bud.
19.4 If an adult who has reached the age of 18 does not have full capacity for civil conduct for any reason, the relevant provisions of the Terms of Use for Minors that apply to this Agreement shall apply.
20. [Others]
